AGRANA to Carry out Capital Increase

With the consent of the Supervisory Board, the Board of Management of AGRANA Beteiligungs-Aktiengesellschaft has decided in principle to carry out a capital increase by utilizing the authorized capital as approved by the Extraordinary General Meeting of Shareholders held on 5 November 2004. The Company plans to increase its existing share capital by up to EUR 23.074 million by issuing up to 3.175 million ordinary shares, as capital market conditions allow.

The purpose of the increase in capital will be to enable AGRANA to sustain its growth strategy while maintaining a solid equity base.  In particular, AGRANA plans to continue to strengthen its market position in the Fruit and Starch sectors.

Raiffeisen Centrobank and Morgan Stanley have been appointed Joint Lead Managers and Joint Bookrunners for the transaction.
